1. About These Terms

These Terms and Conditions (“Terms”) govern the sale of products by SupaPaws Trade (“we”, “us”, “our”) to approved trade customers (“you”, “your”, “Customer”) via our website. By submitting a Trade Application, placing an order, or otherwise purchasing goods from us, you agree to be bound by these Terms.

3. Eligibility and Trade Accounts

3.1 Our products and trade pricing are available exclusively to approved trade customers — registered businesses such as retailers, groomers, and wholesalers operating within the pet product trade. We do not sell to members of the public for personal, non-trade use.

3.2 To purchase from us, you must submit a Trade Application and be approved by us. We may request evidence of trading status (for example, company registration or VAT details) as part of this process.

3.3 We reserve the right, at our sole discretion, to accept, refuse, suspend, or revoke a Trade Account at any time, including where we reasonably believe an applicant or customer does not qualify as a genuine trade business, has provided false or misleading information, or has breached these Terms.

3.4 Trade Account login details are personal to the approved business and must not be shared with, or used on behalf of, any unrelated third party.

4. Orders

4.1 Placing an order through our website constitutes an offer to purchase, which we may accept or decline at our discretion.

4.2 A binding contract is formed only once we confirm acceptance of your order (for example, by order confirmation email).

4.3 We reserve the right to refuse or cancel any order, including where a product is out of stock or mispriced, or where we reasonably suspect fraudulent or unauthorised use of a Trade Account.

5. Pricing and Payment

5.1 Trade prices are visible only to approved, logged-in trade customers and are shown exclusive or inclusive of VAT as indicated on the website.

5.2 VAT is charged at the applicable UK rate. Our VAT Registration Number is [VAT NUMBER].

5.3 Payment is accepted by BACS transfer only.

5.4 Payment terms (for example, payment in advance or agreed credit terms) will be confirmed individually with each Customer and may vary between accounts. Where credit terms are agreed, payment must be received in full by the agreed due date.

5.5 We reserve the right to withhold or suspend future orders or deliveries where payment is overdue.

6. Minimum Order Value and Delivery Charges

6.1 Orders with a value of £1,600 or more (excluding VAT) qualify for free delivery within the UK.

6.2 Orders below £1,600 will incur a delivery charge, which will be confirmed to you before or at the point of order.

7. Delivery

7.1 We currently deliver within the United Kingdom only.

7.2 Estimated delivery timeframes are 3–5 working days from the date your order is accepted, subject to stock availability. Timeframes are estimates only and are not guaranteed.

7.3 Risk in the products passes to you on delivery. Title (ownership) in the products passes to you only once we have received payment in full.

8. Cancellations

8.1 You may cancel an order free of charge within 24 hours of placing it, provided the order has not yet been dispatched.

8.2 Cancellation requests made after this period, or once an order has been dispatched, will instead be treated in accordance with our Refund Policy.

9. Product Information

9.1 We make reasonable efforts to ensure that product descriptions, images, weights, and sizes shown on our website are accurate. Slight natural variation may occur, particularly for products of natural or animal origin.

9.2 As a trade buyer, you are responsible for ensuring that products you purchase from us are suitable, safely labelled, and appropriately described when resold to your own customers, including compliance with any animal feed, food safety, or labelling regulations applicable to your business.

10. Returns and Refunds

Returns, refunds, and cancellations after dispatch are governed by our separate Refund Policy, which forms part of these Terms and is available on our website.

11. Intellectual Property

11.1 The SupaPaws Trade name, logo, and registered trade mark (UK00004279942), together with all product images, descriptions, and other content on our website, are owned by us or our licensors and are protected by intellectual property law.

11.2 You may not copy, reproduce, or otherwise use our product images, descriptions, branding, or other website content for resale, marketing, or any other purpose without our prior written consent.

11.3 You may not represent our products as your own brand, or otherwise imply an affiliation with us that does not exist, without our prior written agreement.

12. Liability

12.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded or limited under English law.

12.2 Subject to clause 12.1, our total liability to you arising out of or in connection with an order shall not exceed the total value of that order.

12.3 We shall not be liable for any indirect or consequential loss, including loss of profit, loss of business, or loss of goodwill.

12.4 Products are supplied as pet treats, chews, or supplements as described on our website. You are responsible for providing appropriate guidance to your own customers regarding safe and suitable use, including in relation to any known allergens or choking hazards associated with natural chews and treats.

13. Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms resulting from causes beyond our reasonable control, including (without limitation) supply shortages, extreme weather, industrial action, or transport disruption.

14. General

14.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.2 We may update these Terms from time to time. The version in effect at the time you place an order shall apply to that order.

14.3 These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
